What is IRS Form 1120-S?

LLC members and S corporation owners need to report their income annually. To show a shareholder’s share of income for a partnership or an S corporation, it’s required to complete the Form 1120-S Schedule K-1. Form 1120-S K-1 is a document that reports the income gains and losses, deductions, and credits for a tax year to each partner holding a share of a corporate entity.

When is Form 1120-S Schedule K-1 due?

As a part of the Form 1120-S, Schedule K-1 has the same due date as the form itself. It should be sent to the shareholder by March 15th or September 15th if the extended deadline is allowed. If the due date falls on Saturday, Sunday, or a legal holiday, the corporation has until the next business day to file it.

How to complete IRS 1120-S Schedule K-1?

Schedule K-1 is a one-page document designed for an S Corporation to provide the following information:

  • name, address, and identification number
  • the shareholder’s personal and contact information
  • the percentage of stock the shareholder owned during the current tax year

Once the two parts of Form 1120-S K-1 are completed, the company must track deductions, credits, and other financial data a shareholder had within the current tax year. At the top of the form, each shareholder or partner should indicate whether a form is final or amended.

all right for this video I wanted to go over how to prepare a form 1120s S corporation tax return for the 2022 tax year so for this example return and fact pattern we're going to be working with a restaurant so it's a newly set up restaurant in Florida two owners and so we're going to cover basically a lot of the elements that we see across most uh us corporation tax returns obviously this isn't going to be all inclusive there's always nuances to your situation but we're going to try to cover most of what you would generally see on an S corporation tax filing now I have a previous video uploaded for a restaurant business as well but it was taxed as a partnership so if you're looking for how to prepare a partnership return for a business that's a restaurant go check that out on the channel so uh before I get into the details on the slide I want to go over what we have in front of us so I've got one slide here some background information on what we're going to cover look at the fact pattern as well and then I have a Excel workbook here so there's a couple of tabs we have the financial statements for the company right so it's for March 15th through the end of the year and that's because the company was set up on March 15th right so it's not a full accounting year because it was formed during 2022. so we've got our financial statements here the profit and loss and the balance sheet I've got a cost of goods sold reconciliation so this is going to be our form 1125 cap a for the cost of goods sold and our inventory numbers I also have a book to tax reconciliation so with s corporations and and most business returns you're often going to find that you might have some book tax adjustments or you might have items that need to be separately stated apart from page one and so we're going to get into that more detail uh what I mean by separately stated items on an 1120s tax return and then lastly we have the S corporation Capital table effectively showing how much stock was issued to each shareholder how much they put in and how many how much in dollar amounts dividend distributions were made to each owner during the year and then lastly we have the return itself right so I've got the 1120s tax return here it's a complete return all the forms and schedules that we would generally need for a business and the schedule K ones and the K2 and K3 all right so I'm going to go back to the slide here we're going to go through this first and then we'll start looking at the financial statements and we'll look at the tax return as well okay so what's going to be covered in
