AIRSLATE AFFILIATE PROGRAM TERMS AND CONDITIONS

These Affiliate Program Terms and Conditions (the «Terms») are the agreement between the applicable provider company listed on the Contracting Entity Table («airSlate», «we» or «us») and you («Affiliate» or «you») regarding your participation in the airSlate Affiliate Program (the «Affiliate Program») to market pdfFiller, signNow, airSlate and other products and services that are available for purchase from airSlate or its subsidiaries, as applicable (the «airSlate Products and Services»). By submitting an application to join or by participating in the Affiliate Program, you are confirming that you have read and agree to be bound by these Terms and the airSlate Terms of Service (https://www.airslate.com/terms-of-service or its successor link), which are incorporated into these Terms by reference.

1. AFFILIATE OBLIGATIONS

  • To begin the enrollment process, Affiliate shall complete and submit the online Affiliate application through airSlate’s online Affiliate Program portal, hosted on PartnerStack.com or any successor website («airSlate Affiliate Portal»). airSlate will review each application and provide an approval or refusal within commercially reasonable time.
  • airSlate reserves the right, at any time, and for any reason, to terminate Affiliate’s participation in Affiliate Program and block Affiliate’s HTML link from any website of Affiliate («Affiliate Site»).
  • The maintenance and the updating of Affiliate’s Site is Affiliate’s sole responsibility.
  • All participants in the Affiliate Program must be compliant with the Federal Trade Commission (FTC) guidelines on testimonials and endorsements, and other applicable law. All endorsements, reviews, testimonials on airSlate’s Products and Services, as well as relationships between other types of content websites (forums, blogs, microblogs, and other social media channels) and airSlate must be clearly disclosed in a written statement on Affiliate’s Site.

2. RESTRICTIONS AND PROHIBITIONS

  • The following will, in airSlate’s sole discretion, without limitation, result in our denial of your Affiliate Program application, or result in termination if you are already a part of the Affiliate Program:
    • your website promotes sexually explicit materials, violence, discrimination, and/or is otherwise used for illegal activities;
    • you are a distributor of toolbars, browser helper objects, shopping assistance applications, etc.;
    • you fail to fully comply with FTC’s Endorsement Guidelines, including demonstration of a reasonable basis for any endorsements and product reviews that you publish;
    • fraud, spamming, cybersquatting and typosquatting of any kind;
    • you conduct paid search campaigns containing our trademarks in other systems. Contact our Affiliate team to get a complete list of protected keywords;
    • or unauthorized coupon or other discount usage.

3. PAYMENT TERMS

  • The applicable fees payable by airSlate to Affiliate (the «Commission Fees») will be calculated based on the commission rates displayed on the airSlate Affiliate Portal.
  • airSlate will only compensate you for Qualified Purchases (as defined in Section 4) made in accordance with these Terms. Any customer who already had an account with any of airSlate’s Products and Services will not be a Qualified Purchase, and not be eligible for payment of the Commission Fees.
  • Commission Fees will be processed approximately forty-five (45) to sixty (60) days after the end of the quarter in which they accrue unless otherwise stated on airSlate Affiliate Portal.
  • If a Qualified Purchase is refunded for any reason, airSlate reserves the right to request the return of the Commission Fees attributable to the refunded purchase or to set off any amounts of such Commission Fees attributable to the refunded purchase against amounts owed by airSlate to Affiliate.
  • airSlate currently uses a third party, PartnerStack.com, to handle all tracking and payments under the Affiliate Program. The Affiliate is responsible for reviewing the network’s payment terms and conditions as they are applicable to you.
  • Each new and unique customer referred from Affiliate that purchases airSlate’s Products and Services, with valid account and billing information shall be a referred customer (each a "Referred Customer").
  • airSlate reserves the right to suspend payment of Commission Fees at any time, if it suspects fraud or other improper activity, or any breach of these Terms by Affiliate or the Referred Customer. airSlate reserves the right to deduct from Affiliate’s Commission Fees any amounts corresponding to fraudulent, questionable, and/or cancelled purchases.
  • airSlate reserves the right to withhold or cancel payment of any Commission Fees that fails to meet all criteria of a Qualified Purchase (as defined below). airSlate is not obligated to notify Affiliates of the status of any Commission Fees. If Affiliate has a question about Commission Fees that have been cancelled or withheld, Affiliate has thirty (30) days from the originally payment due date to contact airSlate. Any decisions regarding cancelled or withheld Commission Fees are strictly in airSlate’s sole discretion.

4. QUALIFIED PURCHASE

A «Qualified Purchase» means a sale of airSlate’s Products and Services by airSlate to a Referred Customer and does not include any purchase:

  • by a Referred Customer that already has an account with airSlate or its subsidiary;
  • by a Referred Customer who has been registered as a lead via any airSlate reseller, referral, or other program;
  • by a Referred Customer that is not current on payment, or is subject to a refund;
  • that was completed prior to Affiliate joining Affiliate Program or was not tracked properly through an Affiliate link;
  • by a Referred Customer that is in violation of airSlate’s Terms of Service or other applicable airSlate policies, at the time the Commission Fees accrue;
  • that airSlate suspects, in its sole discretion, is the result of fraud, which shall include but is not limited to, the use of software that generates real and fictitious information, multiple accounts from the same customer, or the referral of accounts that do not comply with these Terms;
  • by a Referred Customer if the Referred Customer was offered or received coupons, refunds, credits or discounts from Affiliate that had not been pre-approved by airSlate in writing;
  • by a Referred Customer if Affiliate or Referred Customer is in or is promoting a business-opportunity program (as determined by us in our sole discretion), using marketing practices that airSlate deems to be unethical or likely to attract fraudulent signups;
  • by a Referred Customer who received a pop-up with a discounted offer, while leaving airSlate’s website during their purchase.

5. PROPRIETARY RIGHTS

  • The logos, trade names, trademarks, copyrights and similar identifying materials airSlate provides to Affiliate for the purposes of Affiliate Program (the «airSlate Content») as well as all associated intellectual property, are the sole and exclusive property of airSlate or its licensors and protected by applicable law. Subject to Affiliate’s compliance with these Terms, during the term of participation in the Affiliate Program, airSlate grants Affiliate a limited, revocable, non-exclusive, non-transferrable (except as provided below) license to use airSlate Content solely and to the extent necessary for Affiliate’s participation in this Affiliate Program. No license to airSlate’s Products or Services is granted by these Terms.
  • airSlate retains all right, title and interest in and to all airSlate Content. Affiliate agrees not to copy, rent, lease, sell, distribute, or create derivative works based on airSlate Content, in whole or in part, by any means, except as expressly authorized in writing by airSlate. airSlate grants to Affiliate only the rights and licenses expressly stated in these Terms, and Affiliate receives no other rights or licenses with respect to airSlate, airSlate Content or any other property or rights of airSlate.
  • During the term of the Affiliate Program, each party may use names, logos, trademarks, service marks of the other party (collectively «Marks») and permitted content and documents of the other party solely in connection with participation in the Affiliate Program subject to the terms below. These Terms shall have no effect on title to and ownership of the Marks and other content and documents provided in accordance with these Terms. During the term of the Affiliate Program, if airSlate makes its Marks available to Affiliate, Affiliate may use airSlate Marks provided that Affiliate strictly adheres to the usage requirements in these Terms and to airSlate Branding Guidelines available at https://www.airslate.com/brand-guidelines.
  • Affiliate must:
    • only use the images of airSlate Marks that airSlate makes available to Affiliate, without altering them in any way;
    • only use airSlate Marks in connection with Affiliate Program; and
    • immediately comply if airSlate requests that Affiliate discontinue use.
  • Affiliate must not:
    • use airSlate Marks in a misleading or disparaging way;
    • use airSlate Marks in a way that implies airSlate endorse, sponsor or approve of Affiliate services or products; or
    • use airSlate Marks in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.

    Affiliate grants to airSlate a royalty free, non-exclusive license to utilize Affiliate’s Marks in any advertisement or other materials in furtherance of this Affiliate Program. The licenses granted above shall terminate upon the termination of Affiliate’s participation in the Affiliate Program.

6. STANDARDS OF CONDUCT; REPRESENTATIONS AND WARRANTIES

Affiliate agrees to comply with the standards of conduct, representations, and warranties set forth below (collectively «Standards of Conduct»). Violation of the Standards of Conduct is a ground for an immediate for cause termination by airSlate.

  • No Misrepresentations. Affiliate will not make any warranties, representations or guarantees with regards to airSlate Products or Services that are false, misleading, or inconsistent with airSlate’s warranties, marketing materials and documentation. Affiliate will not take any action which may discredit, injure the reputation of, or reflect adversely upon airSlate or the airSlate Products and Services Affiliate provides within the Affiliate Program. Affiliate may not make any additional warranties regarding the airSlate Products and Services.
  • Prohibited Activities. While participating in the Affiliate Program, Affiliate may not participate in any of the following activities:
    • unsolicited mass-email solicitations, IRC postings or other forms of spamming;
    • pop-up advertising networks;
    • hidden iFrames or cookie stuffing;
    • misrepresentation of Affiliate’s relationship with airSlate; or
    • other fraudulent or illegal activity of any kind.

    Affiliate Site cannot incorporate images or content that is unlawful, defamatory, obscene, harassing or otherwise objectionable, such as sites that facilitate illegal activity, promote violence or promote or assist others in promoting copyright infringement. Affiliate shall not purchase, or have purchased, any domain name, including second (or lower) level domain names that include airSlate’s Marks, or any variation thereof. Affiliate is not authorized to use the Marks in any way in an email address, or in any way that is not visible to the naked eye, for example in meta-tags.

  • Opt Out and Unsubscribing. Affiliate will comply promptly with all opt out, unsubscribe, «do not call» and «do not send» requests. During its participation in the Affiliate Program, Affiliate will establish and maintain systems and procedures appropriate to effectuate all opt out, unsubscribe, «do not call» and «do not send» requests.
  • Data Protection. The Data Processing Addendum available at: https://www.airslate.com/dpa is incorporated herein by reference and Affiliate shall conform with all terms and conditions therein.
  • Compliance with Applicable Laws. Affiliate shall comply with all applicable foreign and domestic laws (including without limitation export laws, privacy regulations, and laws applicable to sending of unsolicited email), governmental regulations, ordinances, and judicial administrative orders. Affiliate shall not engage in any deceptive, misleading, illegal or unethical marketing activities, or activities that otherwise may be detrimental to airSlate, airSlate customers, or to any third party. Export laws and regulations of the United States and any other relevant local export laws and regulations may apply to the services Affiliate provides within the framework of the Affiliate Program. Affiliate will comply with the sanctions programs administered by the Office of Foreign Assets Control (OFAC) of the US Department of the Treasury. Affiliate will not directly or indirectly export, re-export, or transfer the Services to prohibited countries or individuals or permit use of the Services by prohibited countries or individuals.
  • Affiliate represents and warrants that:
    • it has all sufficient rights and permissions to participate as Affiliate in the Affiliate Program;
    • its participation in the Affiliate Program will not violate any provision of law, rule, or regulation to which Affiliate is subject; any order, judgement, or decree applicable to Affiliate or binding upon Affiliate’s assets or properties; any provision of Affiliate’s by-laws or certificate of incorporation; or any agreement or other instrument applicable to Affiliate or binding upon Affiliate’s assets or properties;
    • Affiliate will not purchase ads that direct to Affiliate Site that could be considered as competing with airSlate’s own advertising, including, but not limited to, our branded or trademarked keywords, except as expressly authorized by airSlate; and
    • that Affiliate will not use Affiliate registration process to purchase airSlate Products or Services for its own benefit.

7. NON-EXCLUSIVITY

The parties acknowledge that the Affiliate Program relationship is non-exclusive, and each party reserves the right to undertake similar activities with other parties, including partners. Each party represents that its participation in the Affiliate Program does not directly or indirectly breach any agreement with or confidentiality and/or non-compete obligations towards any other person or company. Each of the parties may have more than one partner. Any such partners may compete with airSlate or Affiliate.

8. CONFIDENTIALITY

  • «Confidential Information» means without limitation any business, technical, financial, and customer information, disclosed by one party to the other during the term of participation in the Affiliate Program, marked confidential, or that the receiving party should reasonably know is confidential or proprietary given the circumstances.
  • Either party may disclose participation in the Affiliate Program, but any non-public pricing, including the amount of Commission Fees, will be Confidential Information.
  • Confidential Information will not include any information which a party can demonstrate:
    • was previously known to the other party;
    • is or becomes publicly available, through no fault of such other party;
    • is disclosed to such other party by a third party having no obligation of confidentiality to the party which originated the Confidential Information;
    • is disclosed by its owner to any third party without obligation of confidentiality; or
    • is independently developed by such other party without any use of or reference to the other party’s Confidential Information.
  • The receiving party of Confidential Information agrees to
    • protect the secrecy of and to avoid disclosure and unauthorized use of the disclosing party’s Confidential Information to the same degree that it takes to protect its own Confidential Information and in no event less than reasonable care, and
    • use Confidential Information only as necessary to fulfill its obligations and exercise its rights under these Terms.
  • Upon termination of cooperation between the Parties, at either party’s request the other party will return or destroy all written materials that contain any Confidential Information of the other party and will certify that has returned or destroyed such confidential information.
  • Either party may disclose Confidential Information if such disclosure
    • is in response to a valid order of a court or other governmental body; provided, however, that the responding party shall first have given notice to the other party hereto (unless legally prohibited from doing so) and shall have made a reasonable effort to contest such disclosure or obtain a protective order or other appropriate remedy, requiring at minimum that the proprietary information so disclosed be used only for the purposes for which the order was issued;
    • is otherwise required by law; or
    • is otherwise necessary to establish rights or enforce obligations within the Affiliate Program, but only to the extent that any such disclosure is necessary.

9. INDEPENDENT CONTRACTORS

Affiliate is an independent contractor and not an employee or agent of airSlate. Affiliate is not authorized to assume or create any obligation or responsibility, express or implied, on behalf of, or in the name of, airSlate or to bind airSlate in any manner. Affiliate shall be responsible for all pay, taxes, and benefits of its personnel performing activities hereunder. Nothing in these Terms, including the term «Affiliate» that is used for convenience only, shall be construed as giving rise to any legal partnership, joint venture, or other relationship between the parties except as expressly set forth herein. For the avoidance of doubt, the term «Affiliate» as used in these Terms shall not mean a legally affiliated entity of airSlate.

10. PRODUCTS AND SERVICES ARE PROVIDED AS-IS

AIRSLATE MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO ACTIVITIES HEREIN OR AIRSLATE’S PRODUCTS OR SERVICES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NON-INFRINGEMENT, PERFORMANCE. IN ADDITION, AIRSLATE MAKES NO REPRESENTATION THAT THE OPERATION OF ITS WEBSITES, PRODUCTS OR SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, AND AIRSLATE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable laws, except in the event of any breach of confidentiality or the intellectual property rights of the other party, in no event shall either party be liable for any indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data, or use, incurred by either party or any third party, whether in an action in contract or tort, even if the other party or any other person has been advised of the possibility of such damages. Except for any violation of the Standards of Conduct, any breach of confidentiality or the intellectual property rights of the other party, each party’s aggregate liability for damages hereunder shall in no event exceed the amount of Commission Fees paid or payable to Affiliate during the past twelve (12) months of its participation in the Affiliate Program.

12. INDEMNITIES

The Affiliate hereby agrees to indemnify and hold harmless airSlate and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgements, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as «Losses») insofar as such Losses (or actions in respect thereof) arise out of or are based on:

  • any claim that airSlate’s use of Affiliate’s name or materials infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party;
  • any misrepresentation, unauthorized representation or warranty made by Affiliate, or any breach of a representation, warranty, covenant or other obligation of these Terms by Affiliate; or
  • any claim related to Affiliate Site or other materials of Affiliate, including, without limitations, its development, operation, maintenance and content.

13. DISPUTES

IN THE EVENT OF A DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING IN ANY WAY TO PARTICIPATION IN THE AFFILIATE PROGRAM OR TO COMPANY, THE COMPLAINING PARTY SHALL NOTIFY THE OTHER PARTY IN WRITING THEREOF. WITHIN THIRTY (30) DAYS OF SUCH NOTICE, BOTH PARTIES SHALL MEET AT AN AGREED LOCATION IN BOSTON, MASSACHUSETTS OR VIA PHONE CONFERENCE OR OTHER PHONE OR INTERNET SERVICE TO ATTEMPT TO RESOLVE THE DISPUTE IN GOOD FAITH. SHOULD THE DISPUTE NOT BE RESOLVED WITHIN THIRTY (30) DAYS AFTER SUCH NOTICE, THE COMPLAINING PARTY SHALL SEEK REMEDIES EXCLUSIVELY THROUGH ARBITRATION, IN BOSTON MASSACHUSETTS AND IN ACCORDANCE WITH THE FEDERAL ARBITRATION ACT TO THE EXTENT APPLICABLE. THE DEMAND FOR ARBITRATION SHALL BE MADE WITHIN A REASONABLE TIME AFTER THE CLAIM, DISPUTE OR OTHER MATTER IN QUESTION HAS ARISEN, AND IN NO EVENT SHALL IT BE MADE AFTER THE MASSACHUSETTS STATUTE OF LIMITATION FOR THE AFOREMENTIONED CLAIMS HAS LAPSED. EACH PARTY SHALL BEAR ITS OWN COSTS AND FEES FOR THE ARBITRATION. THE ARBITRATORS’ AWARD SHALL BE THE SOLE AND EXCLUSIVE REMEDY BETWEEN THE PARTIES.

14. APPLICABLE LAW

The law that governs all matters arising out of these Terms and the venue where legal disputes will be resolved is identified on the Contracting Entity Table. The body of law controlling conflicts of law does not apply. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to the Agreement.

15. ASSIGNMENT

These Terms shall be binding upon, and inure to the benefit of, both parties and their respective successors and assigns, including any corporation with which, or into which, airSlate may be merged, or which may succeed to any part of its assets or business.

16. MODIFICATION

airSlate may modify these Terms from time to time in its sole discretion. In the event of any material changes to the Terms, Affiliate will be notified by email or through airSlate Affiliate Portal. If any modification is unacceptable to Affiliate, Affiliate may terminate and discontinue further participation in the Affiliate Program. Affiliate’s continued participation in the Affiliate Program following notice or posting of new or updated Terms on our site will indicate Affiliate’s agreement and consent to such changes.

17. TERMINATION

  • Either party may terminate cooperation at any time, with or without cause, by giving the other party a 30-day written notice (email acceptable). In addition, airSlate may terminate cooperation immediately upon any breach of these Terms by Affiliate. If airSlate terminates for cause, airSlate may also pursue legal and/or equitable remedies.
  • Upon any termination, Sections 7-15 hereof shall survive such termination. Upon any termination, Affiliate will immediately discontinue all use of airSlate’s Marks, airSlate Content, and references to the Affiliate Program.

18. MISCELLANEOUS

  • No delay or omission by either party in exercising any right, remedy or power hereunder shall operate as a waiver of that or any other right, remedy or power. A waiver or consent given by either party on any one occasion shall be effective only in that instance and shall not be construed as a bar or waiver of any right, remedy or power on any other occasion. Nothing in these Terms, express or implied, is intended to or shall confer upon any person or entity (other than the parties hereto) any right, benefit or remedy of any nature whatsoever under or by reason of these Terms.
  • These Terms constitute the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms.
